Terms of Use for "Appli Cloud (free trial version)"

These terms of use apply to users of "applippli Cloud (free trial version)" (hereinafter referred to as "free trial version") provided by applippli Co., Ltd. (hereinafter referred to as "our company").

Article 1 ＜Application of Terms＞
1. We provide a free trial version for the purpose of testing and verifying the provision environment of "Applipli Cloud" (hereinafter referred to as "this Service"). Only corporations and users (hereinafter collectively referred to as "Users") who apply for the free trial version via the Service's dedicated web application page and whose application has been accepted by us may use the free trial version in accordance with these Terms and Conditions. 2. Users are deemed to have accepted the contents of these Terms and Conditions at the time of applying to use the free trial version.

3. Explanations, guidance, and usage precautions of the free trial version notified to the user by the Company in a manner specified by the Company shall constitute part of these Terms, regardless of their name.
4. The Company may change these Terms at any time without obtaining the User's consent. The changed Terms shall come into effect from the time the Company notifies the User in a manner specified by the Company.

Article 2 ＜Free Provision＞
1. The Company shall provide the User with a free trial version free of charge, for the provision period specified in Article 3 only.
2. You cannot switch from the free trial version to this service.

Article 3 ＜Provision Period＞
1. The provision period for the free trial version is a maximum of 7 days from the date on which the user starts using the service. However, the provision period may be changed without the user's consent for reasons of our company.
2. After the free trial version ends, the Company will erase all usage data. No objection will be raised regarding the data erasure, and the Company shall not be liable for any damage or loss suffered by the User in relation to the erasure of the User's stored data.

Article 4 ＜ID and Password＞
1. When the Company approves the application for use under Article 1, Paragraph 1, the Company shall grant the User an ID and password for use and management of the free trial version.
2. The user shall be solely responsible for the use and management of the ID and password assigned to the user, and all use of the free trial version authenticated with said ID and password shall be deemed to be use by the user.

Article 5 ＜Specifications＞
1. Please refer to the specifications of the free trial version on the application web page.
2. The Company may conduct maintenance on the cloud environment at its convenience.
3. If the user violates these terms, the Company may delete the user's data without notice.

Article 6 ＜Prohibited acts＞
1. The User shall comply with any instructions given by the Company necessary for the smooth provision of the free trial version.
2. The User shall not license, rent, loan, transfer, or pledge the right to use the free trial version to a third party, regardless of whether it is for commercial purposes or not.
3. Users shall not engage in any of the other prohibited acts set out below. If any of the following acts are confirmed, we may take measures such as isolating or suspending the relevant server and suspending use of the service without prior notice:
⑴ Providing services similar to this service (including use in applications)
⑵ Changing the network settings of servers or services provided by our company
⑶ Flooding attacks, DOS attacks, and similar acts
⑷ Investigation or attempt to investigate the situation of other users
⑸ Attacks on the service or assets provided by our company, or acts of destruction of security mechanisms, or investigations or attempts
⑹ If the situation does not improve even after a warning
⑺ When the situation is due to negligence rather than intention on the part of the user (e.g., when a third party takes over the server and uses it for a springboard attack, or when the server is due to a configuration error, etc.)
⑻ Unauthorized use of the account (the Company will determine whether or not an account is being used in an unauthorize manner)
⑼ When a violation of laws and regulations or an unfair infringement of the rights of a third party is reported, or when the Company detects such a violation

Article 7 ＜Limitation of Liability＞
1. Our company shall not be liable for any loss or damage of the user's or a third party's programs or data, regardless of the reason, resulting from the user's use of the free trial version.
2. If the user incurs damages (including not only special damages but also ordinary damages) or causes damages to a third party or a dispute arises with a third party as a result of the user's use of the free trial version, the user shall handle and resolve such matters at their own responsibility, and our company shall not be liable for any damages whatsoever.
3. If a third party makes a complaint, demand, or lawsuit against the Company regarding the User's use of the free trial version, the User shall settle such complaint, demand, or lawsuit at his/her own responsibility and expense, and if the Company incurs any damages (including attorney's fees), the User shall compensate the Company for such damages.
4. The Company does not provide any guarantee to the User regarding the free trial version, including that the free trial version will suit the User's specific purpose, have the expected functions, achieve the expected results, be free of malfunctions, or result of use.
5. The Company shall not be liable for the condition of communication lines outside the Company's control or facilities that do not belong to the Company's facilities.

Article 8 ＜Suspension of free trial version, etc.＞
1. When the Company deems it necessary due to periodic or special inspection (including repairs and improvements), changes in communication conditions on the Internet, or due to the Company's system circumstances, etc., the Company may suspend the free trial version or restrict its use after giving prior notice to the user.
2. We may change the content of the free trial version or cancel the free trial version with prior notice to the user.
3. If we are unable to give prior notice to the user as set forth in the previous two paragraphs due to unavoidable circumstances, we reserve the right to suspend, restrict or cancel the free trial version, or change the content of the service without notice.
4. Even if the User suffers damage as a result of the Company suspending, restricting or discontinuing the free trial version or changing the content of the service based on the three preceding paragraphs, the Company shall not be liable for any such damage.

Article 9 ＜Court of Jurisdiction＞
Any litigation regarding the use of the free trial version shall be submitted to the exclusive jurisdiction of the Fukuoka District Court, Iizuka Branch.
